1. Acceptance of Terms

By accessing or using the MedRef API services ("Services"), you agree to be bound by these Terms of Service. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these terms.

2. Description of Services

MedRef provides API access to healthcare reference data including procedure codes, diagnosis codes, fee schedules, and provider information. The data is sourced from public government databases and is provided for informational purposes.

3. Account Registration

You must register for an account to use the Services. You agree to provide accurate information and keep your account credentials secure. You are responsible for all activities that occur under your account.

4. API Usage

You may use the API in accordance with our documentation and rate limits. You agree not to:

• Exceed your plan's rate limits or request quotas
• Share your API keys with unauthorized parties
• Attempt to circumvent security measures
• Use the Services for any unlawful purpose
• Resell or redistribute raw API data without permission

5. Payment Terms

Paid plans are billed monthly or annually in advance. All fees are non-refundable except as required by law. We may change pricing with 30 days notice. Overages beyond your plan limits will be billed at the published overage rates.

6. Data Accuracy

While we strive to provide accurate and up-to-date healthcare reference data, we do not guarantee the accuracy, completeness, or timeliness of any data. You are responsible for validating data for your specific use case.

7. Intellectual Property

The Services, including our API design, documentation, and software, are owned by MedRef and protected by intellectual property laws. Healthcare reference data may be subject to third-party terms from original data sources.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDREF SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless MedRef from any claims, damages, or expenses arising from your use of the Services or violation of these terms.

11. Termination

Either party may terminate this agreement at any time. Upon termination, your access to the Services will cease. We may suspend your access immediately for violations of these terms.

12. Governing Law

These terms are governed by the laws of the State of California without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in San Francisco County, California.

13. Changes to Terms

We may modify these terms at any time. Material changes will be notified via email or website notice. Continued use of the Services after changes constitutes acceptance.
